TERMS & CONDITIONS

When you ask Pix and Plans (Nedko Dimitrov, Kirk Kirchev or Marcin Noga) to take your photographs, the following Terms will apply.

These Terms refer to you or your Company as the 'Client' or 'you' or 'your'. Pix and Plans is referred to by the words "we" and "us".

Agreement Type and Charging

When you commission photographs from us, the contract between us is for that specific project and shall be charged for at a pre-agreed rate.

Acceptance of this Agreement

This agreement shall be deemed to have been accepted by you upon my receipt of your instructions. Any deviation from these terms must be agreed in writing.

Upon instructing us, you will be deemed to have the authority to instruct us to undertake the work requested by you. If you do not have authority and the Company for which you work, or the person for whom you work, then denies liability to pay any proper invoice that I raise in connection with your instruction to us, then you hereby agree that you will be personally responsible and liable for the settling of any proper account that we raise following completion of any work that you have asked us to undertake.

Sub-contractors

If required, we reserve the right and the Client hereby agrees to allow, the use of sub-contractors or agents to work on any aspect of any Project that we accept.

(a) Reproduction rights (if and when granted) are strictly limited to the use and period of time specified on the Pix and Plans’ invoice. An agreement must be reached with Pix and Plans before the pictures are used for a different purpose or after the licence to use has expired.

(b) Reproduction rights are not issued exclusively to the Client except when specified on the invoice.

(c) Reproduction rights granted are personal to the Client and may not be assigned, nor may any picture submitted to the Client be loaned or transferred to third parties save for the purpose of the exercise by the Client of such reproduction rights

Project Completion

We aim to enhance and supply photographs within 48 working hours of taking them, working Monday to Friday.

Payments

We will issue invoices in respect of work undertaken. The Client is required to settle invoices as the payment falls due, and the Client hereby agrees that we may suspend ongoing work until any arrears have been paid. If debt collection proves necessary, the Client agrees to pay all fees (including all legal fees and court costs) incurred by such a process, or as specified by any third party debt collection agency. Interest will be charged at 4% over Barclays Bank lending rate on all debts outstanding.

Our standard terms for settlement are within 30 days of invoice.

This Agreement

This agreement constitutes the sole agreement between you and us regarding any Project(s) that you commission Pix and Plans to undertake. Any additional work not specified in this Agreement or any other amendment or modification to this Agreement must be authorised by a written request and agreed by both you and us.

Jurisdiction

This Agreement is made subject to the law of England and Wales. Any dispute will be litigated or arbitrated in the United Kingdom, and you hereby consent to the personal jurisdiction of the Courts of England and Wales. Furthermore, you waive any right to or claim of sovereign immunity.
